📌 Chapter 7.3 — Dividends & Distributable Reserves

Consider a client who asks you why they should trust a specific fund house with their life savings, specifically questioning who is truly in charge of the money once it leaves their bank account. As an MFD, you must move beyond the marketing brochure and explain the regulatory guardrails of the Indian mutual fund industry.

The structure is built on a clear segregation of duties: the Sponsor sets up the trust, the Trustee Company acts as the watchdog, and the Asset Management Company (AMC) handles the daily operations. This structure is designed to prevent conflicts of interest and ensure that professional management is always subject to strict oversight.

The Sponsor is essentially the promoter who registers the Mutual Fund as a trust with SEBI. Think of the Sponsor as the architect who provides the initial capital and the regulatory reputation for the fund house to exist. However, the Sponsor does not manage the money directly. Instead, they appoint the Trustees, who hold the assets in trust for the benefit of the unit holders.

The Trustees are the primary protectors of investor interests; they review the performance of the AMC and ensure compliance with all SEBI regulations. They hold the power to change the AMC if it fails to act in the best interest of the investors.

The AMC, meanwhile, is the entity that employs the fund managers, researchers, and sales teams to actually run the schemes. When you recommend a large-cap or balanced advantage fund to a client, you are relying on the AMC’s investment process, but that process is under constant supervision by the Trustee Board.

If an AMC contemplates a change in fundamental attributes of a scheme, such as a major shift in investment objective or a change in the exit load structure, it is the Trustees who must sign off on these changes after providing an exit option to existing investors. This separation ensures that even if an AMC is focused on growth or gathering AUM, the Trustees remain focused on compliance and the safeguarding of client capital.

For an MFD, this governance framework is your strongest tool when addressing investor anxiety. When market volatility strikes, you are not just selling a product; you are guiding a client through a professional system where institutional checks and balances operate independently of the AMC’s own profitability. While direct plans may offer lower expense ratios, the value of your regular plan recommendation lies in this ongoing education and the interpretation of these institutional safeguards for the individual investor.

By understanding these roles, you become an informed representative of a structured, regulated financial ecosystem.

Nuance

⚠️ Nuance
A common pitfall for candidates is confusing the roles of the Sponsor, the Trustee, and the AMC. Many wrongly assume the AMC has the ultimate authority to make all decisions without outside interference, ignoring the fiduciary oversight provided by the Trustees. Always remember that while the AMC makes the investment calls, the Trustees are the legal owners of the corpus for the benefit of the investors, and they possess the statutory authority to hold the AMC accountable.
